1. Who we are — a directory, not a provider

I NEED ROADSIDE ("Company," "we," "us," or "our") operates an online marketplace and directory at ineedroadside.com and within our mobile experience (collectively, the "Platform") that lets drivers ("Users") discover, contact, and request roadside and towing services from independent third-party providers ("Providers"). We are not a roadside assistance, towing, transportation, or motor club company. We do not employ Providers, own vehicles or equipment, dispatch Providers, supervise jobs, or perform any roadside or towing service ourselves. Every Provider listed is an independent business, solely responsible for the work they perform, their licenses, their insurance, their employees and contractors, and their pricing.

2. Acceptance of these Terms

By accessing or using the Platform you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform. We may change these Terms at any time; continued use after a change means you accept the updated Terms.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Platform. You represent that the information you provide is accurate and that you are not barred from using the Platform under applicable law.

4. The relationship between Users and Providers

When a User requests a service through the Platform, a direct contract is formed between the User and the Provider for the service. We are not a party to that contract. We do not guarantee the availability, arrival time, quality, safety, legality, or outcome of any service. We do not warrant that any Provider holds any specific license, certification, registration, training, insurance, or background check beyond what (if anything) we have voluntarily disclosed on a Provider listing. You are solely responsible for evaluating a Provider before engaging them.

5. Payments and fees

When you pay through the Platform, we (or our payment processor) act as a limited payment collection agent for the Provider only for the purpose of routing your payment to that Provider, less any platform or service fee we disclose at checkout. We may hold funds in escrow until you confirm the job is complete or the time window we publish expires. Refunds, cancellation fees, tips, disputes, chargebacks, and taxes are governed by the policies we display in the app at the time of booking, which are incorporated by reference. Prices and fees may change at any time without notice for future bookings.

6. Cancellations and disputes

Cancellation tiers and fees are shown in-app before you confirm a cancellation. If you believe a job was not performed as agreed, you may open a dispute through the Platform within the window shown in-app. We will review good-faith disputes and may, at our sole discretion, issue partial or full refunds, but we are under no obligation to do so.

Providers are independent contractors of the Users they serve, not employees, agents, partners, or franchisees of the Company. Providers are solely responsible for: maintaining all required licenses, registrations, permits, commercial auto and general liability insurance, and any wage, tax, employment, and labor obligations for themselves and any personnel; the safe and lawful performance of every job; the condition and operation of their vehicles and equipment; and compliance with all applicable laws, including local towing and consumer protection laws. Providers indemnify the Company against any claim arising from their services or omissions.

9. NO WARRANTY

THE PLATFORM AND ALL CONTENT, LISTINGS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR THAT ANY PROVIDER WILL ACCEPT, ARRIVE, OR COMPLETE A JOB. WE DO NOT WARRANT THE CONDUCT, QUALIFICATIONS, OR PERFORMANCE OF ANY PROVIDER.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, PROPERTY DAMAGE, BODILY INJURY, OR DEATH ARISING OUT OF OR RELATED TO THE PLATFORM, A PROVIDER, A JOB, OR ANY SERVICE REQUESTED OR PERFORMED THROUGH THE PLATFORM, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES YOU PAID TO US IN THE 90 DAYS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, IN WHICH CASE THEY APPLY TO THE FULLEST EXTENT PERMITTED.

11. Indemnification

You will indemnify, defend, and hold harmless the Company and its affiliates from and against any claim, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your interactions or contract with any Provider or User; (c) your breach of these Terms; (d) any service performed, attempted, or not performed by a Provider; or (e) your violation of any law or third-party right.

12. Assumption of risk

Roadside and towing services involve inherent risks including, without limitation, vehicle damage, personal injury, traffic, and weather hazards. You knowingly and voluntarily assume all such risks and release the Company from any related claims.

13. Communications & messaging

By providing your phone number you consent to receive transactional SMS, push notifications, and emails from us and from Providers related to your job. Standard message and data rates may apply. You may opt out of non-essential messages at any time.

14. Intellectual property

The Platform, including our brand, logos, software, and content, is owned by the Company and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended purpose.

15. Termination

We may suspend or terminate your access to the Platform at any time, for any reason, without notice or liability. Sections that by their nature should survive termination (including Sections 4, 5, 8, 9, 10, 11, 12, and 17) survive.

16. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Venue for any non- arbitrable claim lies exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

17. Arbitration & class waiver

Except for small-claims matters and requests for injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the Platform will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You and the Company each waive any right to a jury trial and to participate in a class, collective, or representative action. You may opt out of this arbitration agreement by emailing support@ineedroadside.com within 30 days of first accepting these Terms.

18. Changes & entire agreement

These Terms, together with the Privacy Policy and any in-app policies we display at booking, are the entire agreement between you and the Company regarding the Platform and supersede any prior agreement. If any provision is found unenforceable, the rest remains in effect.
